Licence terms
1. Scope and parties
These terms govern the use of the Replado software. The licensor is Marcel Gläser, Lessingstr. 4, 15345 Altlandsberg, Germany. The purchase is handled by Paddle.com Market Ltd. as reseller (merchant of record); Paddle's terms additionally apply to payment, invoicing and VAT.
Replado is offered exclusively to businesses, i.e. companies, associations, public bodies and self-employed persons who acquire the software for their professional or commercial activity. It is not offered to consumers.
2. Licence
Upon full payment you receive a perpetual, non-exclusive and non-transferable right to use Replado within your organisation. The licence covers the purchased number of simultaneously active mailboxes (Start licence: 3) with any number of users and emails.
You may run Replado on your own servers or with a hosting provider of your choice, for your own organisation. You may not pass on the software, the installation key or the access to third parties, rent it out, offer it as a service to third parties, circumvent the licence check or reverse engineer the software, except where expressly permitted by mandatory law.
In the event of a breach we may block access to updates. Further claims remain reserved.
3. Updates
The purchase includes 12 months of updates from the date of purchase. After that, the most recent version you obtained keeps running without time limit. The optional update plan extends the update period by 12 months each time. Newer versions released outside your update period run in observation mode only.
4. Operation and your responsibility
Replado runs on your infrastructure. You are responsible for servers, backups, credentials and connecting your mailboxes. You choose the AI yourself and, where required, conclude your own contract with the AI provider, including a data processing agreement. We have no access to your emails or customer data.
Replado never sends an email without approval by a person. The approving person is responsible for the content of approved replies. AI drafts may contain errors and must be reviewed before approval.
5. Defects
Replado is delivered as described on replado.com. We remedy defects at our discretion by an update or a workaround. Claims for defects expire 12 months after delivery. Operation in a supported environment (Linux server with Docker) is required.
6. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health and under the German Product Liability Act. In cases of slight negligence we are only liable for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract and at most to the purchase price paid. We are only liable for loss of data to the extent it would not have occurred with customary backups on your part.
7. Refunds
If Replado does not work as described in your environment and we cannot fix this within 14 days of purchase, we will refund the full purchase price on request. The licence ends with the refund and access is blocked. Please write to contact@replado.com.
8. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. To the extent permitted, the place of jurisdiction is the licensor's place of business. Should individual provisions be invalid, the remainder of the contract remains valid.
The German version of these terms is legally binding. Last updated: 31 October 2026
